Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 8, 2023, Atara Biotherapeutics, Inc., a Delaware corporation (the “Company”), announced that Jakob Dupont, M.D., the Company’s Executive Vice President, Global Head of Research and Development, on May 5, 2023, notified the Company of his intention to resign from the Company effective as of May 12, 2023.

On May 12, 2023, Dr. Dupont resigned from the Company and entered into a consulting agreement with the Company, pursuant to which Dr. Dupont will provide consulting services to the Company through December 31, 2023. Dr. Dupont will be paid a consulting fee of (i) $15,000 monthly for up to a specified number of consulting hours per month through August 31, 2023 and (ii) $4,500 monthly thereafter, and in each case will receive additional compensation of $300 per hour in excess of such specified number of consulting hours in any month. Dr. Dupont’s outstanding equity awards will continue to vest during the consulting term.
